Our client, a leader in the technology field and experiencing sustained growth, is looking for a Corporate Counsel to join their legal corporate team.

The Corporate Counsel is primarily responsible for reviewing, drafting, and negotiating commercial agreements on behalf of the client in support of the sales team. They will develop contract templates and model provisions for inclusion in agreements. The Corporate Counsel will also be responsible for providing legal input to other departments.

  • Hold a J.D. from an accredited law school
  • Member of the Bar in at least one Canadian jurisdiction
  • Minimum of 5 to 6 years of experience drafting and negotiating commercial contracts
  • Experience with technology contracts
  • Excellent legal drafting skills
  • Strong negotiation skills
  • Knowledge of US Law (contracts negotiation). (Asset)
  • Excellent oral and written communication skills

Brief Description

The Corporate Counsel is primarily responsible for reviewing, drafting, and negotiating commercial agreements on behalf of the client in support of the sales team. They will develop contract templates and model provisions for inclusion in agreements. The Corporate Counsel will also be responsible for providing legal input to other departments.

 

Main Tasks and Responsibilities

  • Draft and negotiate a wide variety of commercial and client-facing tech transactions typical to the Cloud Services, IaaS, PaaS, and SaaS technology sectors.
  • Draft and negotiate Subscription Agreements, Services Agreements, and Data technology partnership agreements.
  • Draft and negotiate Data Privacy and Data Processing Agreements.
  • Draft and negotiate Security Agreements.
  • Design and/or implement processes and best practices relating to contract risk management
  • Draft, review, and negotiate complex client technology transactions to be most advantageous from a legal and business perspective.
  • Draft, review, and negotiate contracts for other areas of business, including vendor agreements, licensing agreements, technology agreements, contractor agreements, and non-disclosure agreements.
  • Develop model forms and templates for various contractual arrangements.
  • Support other departments’ internal legal needs.
  • Provide legal training to other teams.

Required Qualifications

Training

  • Hold a J.D. from an accredited law school.
  • Member of the Bar in at least one Canadian jurisdiction.

Professional experience

  • Minimum of 5 to 6 years of experience drafting and negotiating commercial contracts.
  • Experience with technology contracts.

Key Competencies

  • Excellent legal drafting skills.
  • Strong negotiation skills.
  • Knowledge of US Law (contracts negotiation). (Asset)
  • Excellent oral and written communication skills; must be able to communicate clearly and effectively with internal and external stakeholders on complex legal and commercial issues.

Abilities

  • Strong organizational skills; must be extremely detail oriented.
  • Solution-oriented with a strong sense of business judgment.
  • Ability to work in a fast-paced, demanding, deadline-driven environment and to respond appropriately to shifting priorities.
  • Ability to work independently as well as collaboratively.
  • Develop subject matter expertise in one or more areas that benefit Legal and/or our business.
  • Participate in developing internal guidelines, toolkits, and packaged knowledge capital on various legal and business issues.
  • Support, promote and implement Legal Group initiatives.
